Terms of Service

01Acceptance of terms

By accessing haestus.dev, using the AI Searchability Scanner, or engaging HAESTUS for any service, you agree to be bound by these Terms of Service and our Privacy Policy. If you are entering into these terms on behalf of a company or organization, you represent that you have authority to bind that entity.

These terms are between you and Haestus (“HAESTUS,” “we,” “us,” or “our”), operating under the laws of the State of Utah, USA. If you do not agree to these terms, do not use our website or services.

02Services described

HAESTUS offers the following services:

  • AI Agents — AI voice and chat receptionist agents that answer inbound calls and messages on behalf of your business (powered by Twilio and ElevenLabs).
  • SmartSites — Performance-first marketing websites optimized for AI search (AEO) and local SEO.
  • Dashboards & CRM — Custom pipeline CRM and analytics dashboards built on Supabase.
  • Training & Implementation — Workshops, embedded coaching, and the HAESTUS Lab community for owners adopting AI in their business.
  • AI Searchability Scanner — A free public tool that audits a website's AI visibility signals and returns a scored report.

Specific deliverables, timelines, fees, and success criteria for each engagement are set out in a written scope document provided before any paid work begins. The scope document supplements and is incorporated into these Terms of Service.

03AI Searchability Scanner — specific terms

The Scanner is a free public tool. By submitting a URL, you agree that:

  • You either own the submitted domain or have authorization from the domain owner to request this audit.
  • You will not submit domains belonging to competitors or third parties with the intent to harass, defame, or damage their reputation.
  • You will not attempt to abuse, overload, or reverse-engineer the Scanner infrastructure.
  • Results are provided for informational purposes only. HAESTUS makes no warranty that the score accurately reflects all AI engine behaviors, which are non-deterministic and change frequently.
  • Scanner results for third-party domains are stored privately and are not published or indexed without explicit permission from the domain owner.

We reserve the right to rate-limit, block, or terminate access to the Scanner for any user or domain that violates these terms or misuses the tool.

04Client portal access

Access to the HAESTUS client portal is granted to authorized representatives of active client organizations. You are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at [email protected] if you suspect unauthorized access.

Portal access may be revoked at our discretion for violation of these terms or upon termination of the service relationship.

05Payment, refunds & cancellation

All fees are set out in the written scope document for each engagement. Unless otherwise specified in the scope:

  • Project (build) fees are invoiced in two installments: 50% upon scope acceptance, 50% upon delivery.
  • Monthly retainer fees are billed in advance on the 1st of each month.
  • Payment is due within 14 days of invoice. Late payments accrue interest at 1.5% per month.
  • All fees are in USD. Sales tax (if applicable) will be itemized on the invoice.

Refunds. Completed build deliverables are non-refundable once accepted by the client. Monthly retainer fees are non-refundable for the current month. If you believe work was not delivered as scoped, notify us in writing within 14 days of delivery and we will work to resolve the issue.

Cancellation of monthly services. Either party may cancel a monthly retainer with 30 days written notice. Cancellation does not affect your obligation to pay for the current billing period.

06Acceptable use

You agree not to use our services or website to:

  • Violate any applicable law, regulation, or third-party right.
  • Transmit spam, malware, or other harmful content.
  • Scrape, crawl, or automated-collect content from haestus.dev beyond what is allowed by our robots.txt.
  • Attempt to gain unauthorized access to any system, account, or data.
  • Submit URLs to the Scanner with the intent to defame, harass, or commercially harm a third party.
  • Misrepresent your identity or affiliation in any communication with HAESTUS.
  • Interfere with or disrupt the integrity or performance of our services.

07Intellectual property

Your content. You retain ownership of all content, data, and materials you provide to HAESTUS. By providing them, you grant us a limited, non-exclusive license to use them solely to deliver the services you requested.

Our deliverables. Upon full payment for a completed project, you receive a non-exclusive license to use the deliverables as described in the scope document. HAESTUS retains the right to use anonymized project details and screenshots as portfolio examples, unless you request otherwise in writing.

Our platform. The haestus.dev website, tools (including the AI Searchability Scanner), pixel-icon system, brand, and underlying technology remain the exclusive property of HAESTUS. These terms do not grant you any license to our platform or brand.

Open-source components. Our services may incorporate open-source software licensed under MIT, Apache 2.0, or similar licenses. Nothing in these terms limits rights granted by those licenses.

08Confidentiality

Each party may receive confidential information about the other during the service relationship. Both parties agree to:

  • Keep confidential information secret and not disclose it to third parties without prior written consent.
  • Use confidential information only for the purpose of performing or receiving the services.
  • Apply at least the same degree of care as it uses for its own confidential information, and no less than reasonable care.

Confidential information does not include information that is publicly known, independently developed, or required to be disclosed by law. This obligation survives termination of the service relationship for two years.

09Disclaimer of warranties

The services and website are provided “as is” and “as available” without any warranty of any kind, express or implied. To the fullest extent permitted by applicable law, HAESTUS disclaims all warranties, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
  • That the services will be uninterrupted, error-free, or free of viruses or harmful components.
  • That AI Searchability Scanner results are accurate, complete, or reflective of current AI engine behavior.
  • That use of our services will result in any particular business outcome, revenue increase, or search ranking improvement.

AI engine behavior (ChatGPT, Claude, Perplexity, Google AI) is inherently non-deterministic and changes frequently. Scanner results are indicative snapshots, not guarantees.

10Limitation of liability

To the maximum extent permitted by applicable law, in no event will HAESTUS, its officers, directors, employees, or contractors be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, business opportunity, or goodwill.
  • Damages arising from reliance on Scanner results or any AI-generated output.
  • Service interruptions, data loss, or security incidents beyond our reasonable control.

Our total cumulative liability to you for any claim arising out of or relating to these terms or our services will not exceed the greater of (a) the total fees paid by you to HAESTUS in the 12 months preceding the claim, or (b) USD $500.

Some jurisdictions do not allow exclusion of certain warranties or limitations on liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

11Indemnification

You agree to indemnify, defend, and hold harmless HAESTUS and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the services or website in violation of these terms.
  • Any content, data, or materials you provide to HAESTUS.
  • Your violation of any third-party right, including intellectual property rights.
  • Any claim that a URL you submitted to the Scanner caused harm to a third party.

12Termination

Either party may terminate an engagement or these terms with written notice, subject to the notice periods and payment obligations in Section 5. HAESTUS reserves the right to immediately suspend or terminate access to any service or tool for material breach of these terms.

Sections 7 (Intellectual Property), 8 (Confidentiality), 9 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive any termination.

13Governing law & dispute resolution

These terms are governed by the laws of the State of Utah, USA without regard to conflict of laws principles.

Before initiating any formal dispute, the parties agree to attempt resolution in good faith through a written notice of dispute and a 30-day negotiation period. If unresolved, disputes will be submitted to binding arbitration in Washington County, Utah under the rules of the American Arbitration Association (AAA). Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

Any claim must be brought within one year of the events giving rise to the claim. This limitation applies to the maximum extent permitted by law.

14Changes to these terms

We may update these Terms of Service to reflect changes to our services, legal requirements, or business practices. We will update the effective date at the top of this page when we do.

Material changes will be communicated to active clients by email at least 14 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the updated terms.
